How long does it take to set up a foreign-owned company in Vietnam?

A standard foreign-owned LLC typically takes 4–8 weeks from document collection to Business Registration Certificate, depending on the sector. Conditional sectors need additional sub-licenses and take longer.

Can a foreign investor own 100% of a Vietnamese company?

In many sectors, yes — trading, consulting, software and most services allow 100% foreign ownership. Some conditional sectors cap foreign ownership or require a local partner. We confirm the rules for your specific business lines before you commit to a structure.

Do I need to travel to Vietnam to incorporate?

Usually not for the incorporation itself. Most steps run remotely with notarized and legalized documents plus powers of attorney; we prepare the checklist for your country. Some banks prefer an in-person meeting to open accounts — we tell you upfront if a visit would help and combine it into one efficient trip.

Which cities do you cover?

We operate from Ho Chi Minh City and Hanoi and execute nationwide through our partner network — including industrial provinces for manufacturing and sourcing projects.

Hiring & EOR

Can we hire staff in Vietnam before our entity is incorporated?

Yes — through our Employer of Record (EOR) service. We employ your team locally under compliant contracts and run payroll, PIT and statutory insurance while your entity is being set up.

What exactly does the EOR service include?

Compliant Vietnamese labor contracts, monthly payroll, personal income tax withholding and filings, statutory social/health/unemployment insurance, and ongoing HR administration. Your team works for you day to day; we carry the local employment compliance.

Can EOR employees transfer to our own entity later?

Yes — that is the typical path. Once your entity is licensed, we transition employment contracts to your company in a planned handover, preserving tenure-related obligations and keeping payroll and insurance continuous.

Can't we just pay people as contractors instead?

It is risky. If someone works like an employee — fixed hours, your direction, ongoing work — Vietnamese law can treat the relationship as employment regardless of the contract label, creating back-tax, insurance and penalty exposure. EOR gives you the same speed without the misclassification risk.

Tax, accounting & compliance

What ongoing tax filings does a Vietnamese company have?

The core cycle is VAT and PIT (monthly or quarterly depending on revenue and headcount), provisional CIT payments quarterly with annual finalization, plus e-invoicing and statutory reports. Deadlines recur relentlessly — most of our accounting clients simply hand us the whole compliance calendar.

What happens if we miss a filing deadline?

Late filings and late payments attract administrative fines and daily late-payment interest — and because filings are monthly or quarterly, penalties compound quietly until someone notices. We run a compliance calendar for every client so deadlines are met before they become a problem.

Will our books stand up to an audit or due diligence?

That is the standard we work to. Books are kept under Vietnamese Accounting Standards with compliant e-invoices and supporting documents filed properly, so a future audit, tax inspection or investor due diligence finds everything in order.

Can you take over accounting from our current provider?

Yes. We run a structured handover: reviewing the state of your books and filings, flagging any gaps or risks in writing, then taking over the monthly cycle. If we find issues from the past, you hear about them from us first — with a plan to fix them.

Are you a law firm?

No. We are a business support and execution partner. We coordinate with licensed legal professionals whenever your matter requires formal legal advice or representation.

How is your pricing structured?

Every service page has a transparent package builder: pick a base package, add support modules, and see the estimated service fee instantly. Government fees and third-party costs are always quoted separately.

What do your prices include — and exclude?

Prices on this website are our service fees, quoted in USD. They exclude government fees, stamp duties and third-party charges (notarization, translation, legalization, courier), which we itemize separately in every proposal so there are no surprises.

What happens after I submit a request?

A named consultant replies within one business day to clarify your situation, usually with a short call. Within two business days of that conversation you receive a written proposal with fixed scope, timeline and pricing. No obligation until you sign.

Do you work with clients who don't have a presence in Vietnam yet?

That's most of our clients. We run discovery calls across time zones, communicate in English by default, and act as your on-the-ground team until — and after — you establish a local presence.

Will you sign an NDA? How is our data protected?

We sign NDAs on request as standard practice — before you share anything sensitive. Personal data is handled under Vietnam's Decree 13/2023/ND-CP on personal data protection, and client information is never shared outside the engagement team.
